1. SELLER AND BUYER SIGN M.O.U. BUYER RETURN MOU WITH VALID VESSEL DETAILS (CPA, Q88, CHATER RECEIPT, ATL) AND THE FULL VESSEL DETAILS WHICH MUST INCLUDE THE VESSEL IMMARSAT/ SATCOM NUMBERS, NAME OF VESSEL CAPTAINS AND NUMBERS, SSB NUMBER, C/SIGN, IMO, AND BUYER T/CODE TRU PHONE.
2. Before loaded vessel is instructed by seller to open communication and in addition to THE BUYER WHO HAS ACCESS TO THE VESSEL CAPTAIN AND SELLER AND THEIR MANDATES SHALL BE TOGETHER IN THE SAME HOTEL IN LAGOS AT BUYER’S COST AND AS SOON AS BOTH PARTIES MEET AND BUYER GIVES PROOFS THAT HE HAS CONTROL OVER THE TRANSACTION AND HAS THE CAPABILITY TO PAY FOR THE PRODUCT UPON COMPLETION OF TRANSHIPMENT, SELLER INSTRUCTS HIS LOADED VESSEL CAPTAIN TO OPEN COMMUNICATION WITH BUYER’S VESSEL AND BUYER CONFIRMS, buyer has to pay N200,000.00 as nonperformance deposit in any case both vessel ties up and buyer could not perform, the seller will use this money for their Bunker from Escravos to and fro Lagos.
3. BOTH VESSELS LONG SIDE AND TIE UP BETWEEN ESCRAVOS AND LAGOS WATERS WHICH MUST ALSO BE CONFIRMED BY BUYER FROM HIS CAPTAIN AND BUYER PAYS 30% AND TRANSSHIPMENT COMMENCES AND COMPLETES.
4. DURING THE MEETING OF BOTH BUYER AND SELLER, PAYMENT SHALL BE STRUCTURED TO MEET THE SECURITY STANDARD OF THE TRANSACTION UPON THE CONSIDERATION OF THE HUGE AMOUNT INVOLVED WHICH COULD LEAD TO BREAKING THE LOADING INTO SLOTS AS AGREED BY BOTH PARTIES AND PART OF THE PAYMENT SHALL BE MADE IN DOLLARS.
5. UPON COMPLETION OF TRANSSHIPMENT, BUYER PAYS FOR TOTAL VALUE OF PRODUCT LESS 30% TO SELLER, AGENTS, FACILITATORS SIMULTANEOUSLY AND VESSEL IS ALLOWED TO SAIL TO POD.
6. NOTE: PAYMENT SHALL BE MADE AS PER SELLER’S PAYMENT SCHEDULE AND THE PRICE AS STATED IS ONLY VALID FOR THREE DAYS.
2. *BLCO TTO Ghana/Lome/West African Countries with only Bank Assurance Letter/Promissory Note(US Dollar Deal or Naira Deal)*
*No need for block fund, bank draft, SBLC, BG, bank endorsed cheque, DLC etc. Requires only bank assurance letter or promissory note.

1. BUYER SIGNS & RETURN SELLERS CONTRACT INCLUDING BANKING COORDINATES, NNPC ACCREDITED SUPERCARGO AND INSPECTOR DETAILS AND ALSO WITH THEIR INTERNATIONAL PASSPORT DATA PAGE ID, EXCHANGE THE SIGNED COPIES BY ELECTRONIC MAIL AND CIS OF BUYER.
2. BUYER RETURNS SIGNED SPA WITH NOR/ETA AND MATB FORMAT SUPERCARGO/INSPECTORS PASSPORT COPY *NOTE: SUPERCARGO AND INSPECTOR - NNPC ACCREDITED.*
3. BUYER’S BANK ISSUES BANK ASSURANCE LETTER/BANK PROMISORRY LETTER TO SELLER’S BANK INDICATING READINESS TO PAY THE SUM OF $1MIL USD NOT MORE THAN 24HRS UPON BOARDING AND ATTESTATION AND COLLECTION OF SAMPLE BY SUPER CARGO, ALSO UNDERTAKING TO PAY THE SUM $200,000 ON FAILURE TO PERFORM AFTER BOARDING AND ATTESTATION ACCORDING TO SELLERS VERBIAGE.
4. UPON CONFIRMATION OF BANK ASSURANCE LETTER, SELLER ISSUES NOR/ETA AND MOVES VESSEL TO 12NM GHANA WATERS. UPON ARRIVAL CAPTAIN ISSUES NOA AND MAKES ANNOUNCEMENT IN BUYERS NAME AND SHIPPING AGENT.
5. BUYER CLEARS IN THE VESSEL WITHIN 12HRS.
6. SELLER CAPTAIN ISSUES MATB AND CLEARANCE WHILE BUYER BOARDS INSPECTION TEAM AT BUYERS EXPENSE.
7. UPON ATTESTATION DULY SIGNED BY SUPER CARGO AND CAPTAIN, INSPECTOR COLLECTS SAMPLE AND DISEMBARKS WHILE SUPERCARGO REMAINS ONBOARD. BUYER PAYS CASH OF $1M FOR LOGISTICS.
8. UPON POSITIVE REPORT OF QnQ ISSUED TO BOTH PARTIES, SELLER THEN RELEASES COMMERCIAL INVOICE AND FULL CARGO DOCUMENT DOCUMENTS IN BUYERS NAME, BUYERS BANK PAY FOR FULL CARGO THROUGH MT103.
9. UPON CONFIRMATION OF PAYMENT, SELLER PAYS ALL FACILITATORS/AGENTS.
10. BUYER RE-CHARTERS LOADED VESSEL AND SAILS TO POD

*Procedure:*
1. SELLER ISSUES SALES PURCHASE AGREEMENT, BUYER AND SELLER SIGN SPA,THE ELECTRONIC SIGNED COPY OF SPA BY BOTH PARTIES IS CONSIDERED LEGALLY BINDING AND ENFORCEABLE.
2. BUYER RETURNS SIGNED SPA WITH NOR/ETA AND MATB FORMAT, SUPERCARGO/INSPECTOR'S PASSPORT COPY, THROUGHPUT AGREEMENT, PAYMENT RECEIPT ETC.
3. BUYER ISSUES N200M BANK DRAFT IN FAVOUR OF THE SELLER'S NOMINATED ACCOUNT AND TRANSMITS THE COPY BANK TO BANK VIA BANK SECURED EMAIL AND COPY ALL THE EMAILS AS PROVIDED ON THE ACCOUNT DETAILS.
4. SELLER CONFIRMS THE INSTRUMENT AND ISSUES 2% PERFORMANCE BOND AND INSTRUCTS HIS CAPTAIN TO ISSUE MARINE NOR/ETA TO BUYER'S TANK FARM IN FAVOUR OF BUYER AND MOVES THE VESSEL TO BUYER'S AGREED TANK FARM.
5. ON VESSEL'S ARRIVAL, SELLER'S CAPTAIN ISSUES MARINE ATB FOR BUYER'S SUPERCARGO AND INSPECTOR TO COME ONBOARD FOR CONFIRMATION OF PRODUCT AND Q&Q ANALYSIS.
6. BUYER'S INSPECTOR COLLECTS SAMPLE AND DISEMBARKS WHILE SUPERCARGO REMAINS ON BOARD AND CAPTAIN ISSUES ATTESTATION, COUNTER SIGNED BY THE SUPERCARGO AND THE CAPTAIN.
7. WITHIN 24 HOURS OF ATTESTATION, INSPECTOR ISSUES REPORT TO BOTH PARTIES ON SUCCESSFUL Q&Q ANALYSIS, THE N200M DRAFT TURN TO CASH
8. VESSEL COMMENCES DISCHARGING AND ON COMPLETION, SELLER ISSUES COMMERCIAL INVOICE AND FULL CARGO DOCUMENTS AND BUYER MAKES THE FULL PAYMENT BY SWIFT WIRE TRANSFER TO SELLER AND ALL BROKERS NOMINATED ACCOUNTS LESS N200M
9. SELLER CONFIRMS PAYMENT UNTIES VESSEL AND SAILS OUT OFF
4. *Nigerian Bonny Light Crude Oil(BLCO) CIF Any World Safe Port(AWSP)*
*Buyer gives RWA, seller gives 2% upfront non operative 2%PB before buyer issue instruments(e.g SBLC MT760, Blocked Fund MT799 or DLC MT700) while seller gives 2% cash PB and delivers product.
*Procedure:*
1. Seller issues SPA while the Buyer signs and returns with international passport, company registration certificate, CIS, ATB/NOR/ETA Format and Shipping Agent info. Seller sends his company's registration certificate and international passport.
2a. BANKING PROCESS: Buyer’s prime Bank issue Pre-Advice via MT799 stating RWA to issue SBLC.
2b. Seller's nominated bank responds and issues NON-OPERATIVE 2% performance bond to buyer's bank.
3. Buyer’s bank issues genuine SBLC via MT760 for full cargo valid for duration of the contract (366 days) while seller confirms the SBLC and pays 2% as bond to buyer
4. Seller charter & loads exclusive vessels, issues full set of vessel documents to the Buyer in the name of Buyer as the Consignee of record and authorizes Vessel Captain to move vessel to Buyer’s port of discharge with periodic NOR/ETA to the Buyer and Buyer’s Discharge Harbor/Tank Agent.
5. At the Buyer’s discharge port, Buyer clears the vessel and pay port & custom charges while the Captain Issues Authority To Board (ATB) to enable Buyer’s independent inspectors to perform Q/Q at mutually agreed location.
6. Upon successful conclusion of Q/Q analysis, inspectors release report to both parties while Seller Issue Commercial Invoice to the Buyer with exact Q/Q report figures.
7. Buyer releases full payment for cargo to Seller's nominated bank within 72 hours after inspection against Q/Q Report, Commercial Invoice and original Cargo Documents by MT-103 (cash wire).
8. Seller confirms payment & authorizes Captain to discharge cargo into Buyer’s storage tank.
9. Seller pays commission to all agents involved in the transaction per the contract.
10. Seller commence subsequent shipments on simple DIP/CI/PAY basis at Buyer’s Port of Discharge.
5. *Nigerian Bonny Light Crude Oil(BLCO) CIF China Offer with Only Chinese Local Bank Draft in RMB or USD for Seller to Issue 2%PB and Deliver Product*
*Seller has a nominated top Chinese bank to receive the Chinese local bank draft(Chinese bank to Chinese bank)
*Note:* Buyer's Chinese bank issues bank draft in RMB/Yuan or USD to seller's nominated NNPC Chinese bank(Chinese bank to Chinese bank), seller's bank issues 2%PB and delivers product.
*Procedure for Delivery to Any China Port:*
3.1. Seller issue contract and Buyer signs and return with CIS, NOR/ETA/ ATB format.
3.2. Buyer’s local Chinese Bank issue Bill of Acceptance of Bank Draft for full cargo RMB 1.4 billion valid for 366 days via electronic delivery or Bank Bonded Courier Service with Seller’s approved verbiage/sample on last page of the contract.
3.3. After successful validation of the Bank Draft, Seller issues two percent performance bond, loads or assigns available vessel and release cargo documents to the Buyer and move the vessel to Buyer’s port of discharge with periodic ETA to the Buyer and Buyer’s Agent.
3.4. At Buyer’s port of discharge, Buyer’s agent clears the vessel, pay all port and custom charges and release copy to the Seller while Seller issue ATB to the Buyer’s inspectors to Board and perform CIQ.
3.5. Inspectors release report to both Buyer and Seller while Seller issue Commercial Invoice to the Buyer.
3.6. Buyer pays for cargo via cash transfer against bill of lading, commercial invoice, and inspection report.
3.7. Seller confirms payment and transfer ownership title to buyer and discharges cargo into buyer's storage tank.
3.8. Seller pays agents and begins subsequent shipments of 2m barrels x 11 months.
6. *Nigerian Bonny Light Crude Oil(BLCO) TTO Ghana/West Africa*
*Buyer issues $1M logistics instrument(SBLC MT760 or Blocked Fund MT799) while seller gives 2%PB and delivers product.
*Instrument can either come from good Ghanaian bank to seller's nominated Ghanaian bank(i.e Ghanaian bank to Ghanaian bank) or instrument can come from good foreign banks to seller's nominated foreign bank.
*Procedure:*
(1)Seller issues Sales Purchase Agreement. (S.P.A) Buyer and seller sign and lodge in their Banks. The electronic signed copy of SPA by both parties is considered legally binding and enforceable.
(2) Buyer returns signed SPA with NOR/ATB format with NNPC approved supercargo/Inspectors passport copy.
(3) Buyer bank issues preadvice. Seller’s bank replies. Buyer’s bank issues $1m SBLC via MT760. Seller’s bank issues two percent performance bond upon confirmation of the instrument
(4) SELLER loads and Moves vessel to inspection point 10NM of Tema.
(5) Seller’s captain issue MATB and makes announcement while Buyer Boards his Supercargo and inspector.
(6) Inspector collects samples and disembarks, while Supercargo remains on board and Captain issues an Attestation counter signed by the super cargo and the captain.
(7) Buyer pays $1m within 24 hours of Attestation while Inspectors issue report to both parties.
(8) Upon successful QnQ, Seller issues commercial invoice and full cargo documents in Buyer’s name and Buyer’s Bank. Buyer makes full payment by Swift Wire Transfer MT 103 to seller nominated account less $1milliion already paid.
(9) Seller introduces Buyer to vessel handler’s for re-charter of vessel and sails to buyer’s port of discharge at Buyers expense while the Seller pays all agents as per contract.-
(10) Buyer issue SBLC MT760 for $220M and Seller issue 2% PB and delivers monthly subsequent shipments.
7. *Nigerian Bonny Light Crude Oil(BLCO) CIF Any World Safe Port(AWSP) with DLC MT700 and 2%PB*
*Procedure:*
1. Seller issues SPA while Buyer signs and returns the SPA, CIS, port of discharge agent details, ATB/NOR/ETA formats, international passport and company registration certificate. Seller also sends his company registration certificate and International passport, together with his allocation ATS for 2022.
2. Within 72hours Buyer’s prime Bank issues RWA via MT799/MT705 stating readiness to issue Documentary Letter of Credit (DLC MT700) to seller's bank.
3. Seller's nominated bank responds stating willingness to receive the DLC MT700 and willingness to issue two percent performance bond upon receiving and confirming buyer's DLC MT700.
4. Within 48 hours Buyer's bank shall issue a genuine and acceptable DLC via MT700 for full cargo, according to Seller’s bank approved verbiage. Seller confirms DLC and issues two percent performance bond.
5. Seller loads and assigns an exclusive vessel in buyer's name and issue full cargo documents in buyer's name as the consignee of record, seller authorizes Vessel Captain to move vessel to buyer's port with periodic NOR/ETA to the Buyer and Buyer’s shipping Agent.
6. Upon vessel arrival, vessel captain make announcement to harbour in favour of buyer. Buyer’s shipping agent clears the vessel to into the port at Buyer’s expense, while the Captain Issues Authority To Board (ATB) to enable Buyer’s independent inspectors to perform Q/Q at mutually agreed location.
7. Inspector conduct dip test and quality analysis. Upon successful conclusion of Q/Q analysis, Inspector’s release report to both parties while Seller Issue Commercial Invoice to the Buyer with exact Q/Q report figures.
8. Buyer releases full payment for cargo to Seller's nominated bank within 72 hours after inspection against Q/Q Report, Commercial Invoice and Bill of Lading by MT-103 (cash wire).
9. Seller confirms payment and instruct vessel captain to discharge cargo into buyer's storage tank.
10. Seller releases title to the Buyer and pays commission to all agents.
11. Seller commences subsequent shipments on simple DIP/CI/PAY basis for 2m barrels x 12 months (quantity per month can be increased at buyer’s choice with corresponding increase in value/amount of the instrument)
8. *Nigerian Bonny Light Crude Oil(BLCO) TTO Ghana*
*Seller will give N5M performance bond to buyer on N200M bank draft, issue cargo documents with MNOR ETA for a TTO Ghana
*Cargo documents shall be issued together with MNOR ETA while the vessel moves to Ghana, for proper cargo gazetting at Ghana Port and take over
*Procedure:*
1. SELLER SENDS SIGNED CONTRACT/SPA TO BUYER. BUYER SIGNED CONTRACT AGREEMENT SEALED WITH FULL BANKING COORDINATES OF BOTH PARTIES AND THEIR AGENTS, INCLUDING THE BANKING ACCOUNTS COORDINATES/ DETAILS TO ISSUE BANK DRAFT.
2. BUYER RETURN DULY SIGNED CONTRACT/SPA TO SELLER ATTACHED WITH NOR/ETA, INSPECTION COMPANY VALID PASSPORT DETAILS AND MATB/NOR FORMAT.
3. SELLER RELEASE FIDUCIARY NOMINATED BANK ACCOUNT DETAILS/ VERBIAGE TO BUYER.
4. BUYER WITHIN 48HOURS ISSUES N100, MILLION NAIRA BANK DRAFT FROM ANY OF THE LOCAL BANKS IN NIGERIA WITH VALIDITY PERIOD OF 30 DAYS AND TRANSMIT SCANNED COPIES VIA BANK TO BANK SECURED EMAIL ATTACHED WITH A BANK CONFIRMATION LETTER FROM THE ISSUING BANK IN POSSESSION OF THE ORIGINAL COPY OF THE BANK DRAFT AND SEND COPIES TO SELLER FOR CONFIRMATION AS PROOF OF LOGISTICS ASSURANCE.
5. SELLER'S ISSUES CONTRACT ACKNOWLEDGMENT AND CONFIRMATION LETTER TO BUYER.
6. SELLER WITHIN 48HOURS ISSUES N5, MILLION NAIRA BANK DRAFT AS AGAINST NON-PERFORMANCE IN FAVOUR OF BUYER (CASHABLE UPON NON-PERFORMANCE AFTER THE VALIDITY PERIOD OF THE BANK DRAFT/MANAGER'S CHEQUE) AND SELLER SENDS SCANNED COPY VIA SECURED BANK TO BANK EMAIL TO BUYER'S BANK FOR CONFIRMATION.
7. SELLER/NNPC TERMINAL NOMINATE A LOADED VESSEL OR ASSIGN ANY LOADED VESSEL IN OR ALREADY ON VOYAGE TO THE BUYER’S PORT IN FAVOUR OF THE BUYER.
8. SELLER/NNPC TERMINAL SENDS SCANNED COPIES OF LOADED VESSELS DOCUMENTS IN FAVOUR OF BUYER'S NAME THROUGH NNPC OFFICIAL EMAIL DOMAIN TO BUYER FOR CONFIRMATION AND SELLER/NNPC AUTHORIZE LOADED VESSEL CAPTAIN TO ISSUE NOR/ETA FROM HIS EMAIL DOMAIN IN FAVOUR OF BUYER’S/HARBOR MASTER FOR SMOOTH OPERATIONS TO THE BUYER'S PORT OF Q/Q. (GHANA WATERS)
9. SELLER/NNPC SET LOADED VESSEL SAILS TO BUYER'S PORT OF Q/Q (GHANA WATER) AND SELLER/NNPC INSTRUCT LOADED VESSEL CAPTAIN TO MAKE ANNOUNCEMENT IN FAVOUR OF BUYER NAME AND ISSUES MARINE AUTHORITY TO BOARD (MATB/NNPC CLEARANCE) TO THE BUYER’S INSPECTION TEAM TO BOARD.
10. BUYER’S SUPERCARGO/ INSPECTION TEAM BOARD THE SELLER/NNPC LOADED VESSEL AT BUYER’S EXPENSE TO CONDUCT QUANTITY AND QUALITY (Q/Q).
11. WITHIN 48HOURS OF SUCCESSFUL INSPECTION, BUYER’S INSPECTORS SENDS Q/Q INSPECTION REPORT TO BUYER AND SELLER/NNPC AND BUYER PAYS THE SUM OF $1, MILLION USD INTO SELLER'S NOMINATED ACCOUNT FOR LOGISTICS/ DOCUMENTATIONS.
KINDLY TAKE NOTE:
IF THE BUYER COULD NOT BE REACHED AFTER THE CARGO ARRIVED AT GHANA WATERS AND ISSUED NOTICE OF ARRIVAL (OR) IF THE BUYER REFUSED TO PRESENT HIS INSPECTION TEAM AFTER ISSUANCE OF MATB & NNPC CLEARANCE, THE BANKER OR ISSUERS OF THE DRAFTS, SHALL WITHIN 24HRS PAY THE SUM OF N100, MILLION NAIRA TO THE SELLER.
12. WITHIN 72 HOURS OF THE RECEIPT OF THE Q/Q REPORT BY BOTH PARTIES, BUYER’S BANK SWIFT TOTAL CARGO VIA MT103 TO SELLER/NNPC NOMINATED BANK ACCOUNT AND SELLER/NNPC INTRODUCE BUYER TO VESSEL HANDLER.
13. BUYER MAKES PAYMENT FOR THE FULL CARGO OR PRODUCT TO SELLER/NNPC NOMINATED BANK ACCOUNT AND TO ALL COMMISSIONS ARE SIMULTANEOUSLY PAID IMMEDIATELY.
14. SELLER/NNPC SENDS ALL ORIGINAL CARGO AND TITLE DOCUMENTS IN BUYER'S NAME.
15. SELLER/NNPC ALLOW THE LOADED VESSEL TO SAIL TO THE BUYER’S PORT OF DISCHARGE.
NOTE: INSPECTOR AND SUPERCARGO MUST POSSESS COVID-19 VACCINATION CERTIFICATES OR CURRENT COVI-19 FREE MEDICAL CERTIFICATES AND OBSERVE COVID-19 PROTOCOLS.
