Procedure for Reassignment of 450 MILLION BARRELS OF OFF OPEC BLCO Allocation.


1. The assignee to put up Letter of intent with his CIS and addressed to: Chief Superintendent, NNPC Bonny Terminal, Rivers State, Nigeria and buyer will state that they want reassignment of 450 million barrels of Tainai Acme Co. Ltd through either CIF or FOB and buyer will attached all their documents including POF, AVPOF, Q88 and Captains details or POD agents etc. 

2. The NNPC allottee sends his allocation documents for verification at OFF OPEC official website which is LONDON SHELL SCREEN and NNPC BONNY TERMINAL ENERGY DESK.

3. After confirmation of the allocation by the intended buyer, the buyer pays $300,000 (three hundred thousand dollars) to NNPC through seller for 

re-assignment and other documentations and pays off the entire amount agreed the buyer and seller including the agents

1. BUYER SIGNS SPA AND RETURN WITH COMPLETED CIS FORM + PASSPORT + CERTIFICATE OF BUSINESS REGISTRATION, SHIPPING AGENT INFORMATION, DETAILS OF HIS/HER PORT OF DISCHARGE AND ATB/NOR/ETA FORMAT. SELLER COUNTERSIGNS SPA AND RETURNS ELECTRONIC COPY, ELECTRONIC SIGNATURES & SEALS ARE LEGALLY BINDING.


2. SELLER ISSUES ATS, NNPC BANK NOMINATION LETTER, ALLOCATION DOCUMENTS, LAYCAN DATE.


3. BUYER'S BANK CONTACTS SELLERS FIDUCIARY BANK BY PRE-ADVICE SWIFT MT-799 INDICATING RWA TO ISSUE SWIFT SBLC/BG VIA MT760, AND REQUESTING SELLER'S BANK CONFIRMATION OF RWA TO RECEIVE SBLC/BG VIA MT76

.

4. SELLER'S FIDUCIARY BANK RESPONDS POSITIVELY VIA PRE-ADVICE SWIFT MT-799 CONFIRMING RWA TO RECEIVE SBLC/BG VIA MT760 AND ISSUE A 2% PB.


5. ON THE STRENGTH OF THIS BANK TO BANK CONFIRMATION, BUYER'S BANK SWIFTS SBLC/BG VIA MT760 TO SELLERS FIDUCIARY BANK FOR THE VALUE OF TOTAL CARGO.M


NOTE; BUYER AND SELLER BANK OFFICER WILL OPEN COMMUNICATION TO ESTABLISH READINESS BEFORE SWIFT OF BANK INSTRUMENT.


6. UPON CONFIRMATION OF SBLC/BG VIA MT760, SELLER WILL ENSURE THE FOLLOWING:

A) NNPC BONNY TERMINAL ISSUES FULL CARGO DOCUMENT IN BUYERS NAME VIA SECURED EMAIL SERVER.

B) VESSEL CAPTAIN ISSUES NOR/ETA TO BUYERS PORT OF DISCHARGE;

C) CAPTAIN OPEN COMMUNICATION VIA SAT-COM WITH BUYERS SHIPPING AGENT AND CONFIRM POP, AND LOADED VESSEL WILL SAIL TO BUYERS DISCHARGE PORT.


7. SELLER AUTHORIZES VESSEL CAPTAIN TO GIVE SHIPPING AGENTS ALL RELEVANT DOCUMENTS FOR CLEARING INTO THE PORT.


8. SELLER ISSUES AUTHORITY TO BOARD (ATB) TO ENABLE BUYERS INDEPENDENT INSPECTORS BOARD THE LOADED VESSELS FOR QUALITY AND QUANTITY (Q&Q) ANALYSIS AT BUYERS DISCHARGE PORT.


9. UPON SUCCESSFUL CONCLUSION OF CIQ REPORT, ALL ORIGINAL CARGO DOCUMENTS AND TITLE OWNERSHIP DOCUMENTS IN BUYERS NAME AND PRO FORMA INVOICE PER CIQ REPORT SHALL BE SENT BY SELLERS BANK TO BUYERS BANK.


10. BUYER BANK ISSUE SWIFT MT103 FOR FULL CARGO, SELLER TRANSFERS TITLE OWNERSHIP TO BUYER AND DELIVER VIA COURIER HARD COPIES OF ALL CARGO AND TITLE OWNERSHIP DOCUMENTS TO BUYERS BANK.


11. SELLER AND BUYER AGENT COMMISSIONS ARE PAID VIA TELEGRAPH TRANSFER (TT) WIRE TRANSFER.


12. A REPEAT OF THE PROCEDURE IS APPLIED PER EACH MONTHS SHIPMENT/LOT UNTIL FINAL DELIVERY AS PER THE TERMS/SCHEDULE OF THE SPA CONTRACT FOR THE NEXT 11 MONTHS UNTIL THE CONTRACT IS TERMED;



NB: In a case whereby buyer fail to perfect or finalize the transaction according to the agreed procedures on this contract risk a penalty fee of $1,000,000.00 within 24hours.

6.1: PROCEDURE FOR FOB/TTT WEST AFRICA (CHANGES WILL VOID SPA)


OPTION1.


1. SELLER ISSUES SALES PURCHASE AGREEMENT (SPA) TO BE EXECUTED BY BOTH PARTIES, BY EMAIL, BOTH PARTIES SIGN SPA AND DEPOSIT WITH RESPECTIVE BANKS. BUYER RETURNS A COPY WITH NOR/ETA FORMAT, COMPLETED NNPC CIS FORM AND BANK ENDORSED PURCHASE ORDER MADE TO TAINAI ACME COMPANY LTD.

2. AS FULFILMENT OF THE SIGNED SPA, BUYER SENDS A COPY OF 2M VLCC VESSELS CPA/Q88. THE CPA MUST BE MARKED "CHARTERED" IN THE NAME OF BUYER ALONG WITH THE INVOICE RECEIPT OF CHARTER OR CERTIFICATE OF OWNERSHIP AND ATL TO NNPC


3. SELLER ISSUE HIS BLCO ALLOCATION DOCUMENTS TO THE BUYER INCLUDING LAYCAN DATE AND ATS (AUTHORITY TO SALE) AS A PROOFS OF AVAILABILITY OF PRODUCTS.

4. BUYER THROUGH HIS BANK SWIFT SBLC/LETTER OF GUARNTEE (LOG) VIA MT760 MT103/72 FOR ENTIRE CARGO ($150M)  (FOR TOTAL CARGO) TO SELLER'S FIDUCIARY BANK ACCOUNT AND SOFT COPY OF SWIFT SHALL BE EMAILED TO SELLER FOR CONFIRMATION (USING SELLER'S ACCEPTABLE ATTACHED FORMAT/VERBIAGE).

5. SELLER, THROUGH THE TERMINAL ISSUES MNOR, CALLS IN BUYERS NOMINATED VESSEL TO LOADING BAY POSITION OF THE FOB CARGO. SELLER SHALL BE RESPONSIBLE FOR ALL COSTS RELATED TO MARINE CLEARANCE, LOGISTICS AND PROGRAMMING FEE.


6. BUYER INSTRUCTS VESSEL MASTER TO RESPOND WITH AN ETA UPON RECEIPT OF TERMINAL NOR.

7. SELLER PROGRAMS LOADING AND OBTAIN LAYCAN WITH BUYERS VESSEL DETAILS. SELLER RESERVES RIGHT TO DO TTT.


8. VESSEL LOADING BEGINS. UPON COMPLETION AND PHYSICAL CONFIRMATION OF LOADING OF THE CARGO BY THE BUYERS VESSEL MASTER, SHALL INVITE BUYER NOMINATED INSPECTORS TO CONDUCT Q&Q. UPON ISSUANCE AND CONFIRMATION OF THE Q&Q REPORT, SELLER SHALL ISSUE ALL RELEVANT SHIPPING AND LOADING DOCUMENTS IN BUYERS NAME TO BUYER ALONG WITH ATS.


9. BUYERS BANK UPON RECEIPT OF THE LOADING DOCUMENTS SHALL, WITHIN 48 HOURS, RELEASE PAYMENT BY SWIFT MT 103/TT CASH WIRE TRANSFER FOR THE CARGO AND THE COMMISSIONS PAYABLE TO ALL AGENTS AND INTERMEDIARIES.


10. SELLER, AT ITS OWN COST, SHALL CLEAR BUYERS VESSEL TO INTERNATIONAL WATERS AND BUYER TAKES OVER THE VESSEL AND THE VESSEL WILL THEN PROCEED TO THE DISCHARGE PORT.


11. NEXT SHIPMENT COMMENCES UPON ISSUANCE OF A LAYCAN OR AVAILABILITY OF SELLERS TTT VESSEL.
